Terms of Service

Age requirement: You must be at least thirteen (13) years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement.

Parental consent: If you are between the ages of thirteen (13) and eighteen (18), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Account accuracy: You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.

Account creation: To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials.

Account security: You agree to notify us immediately at support@sparwithai.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

One account per user: You may not create multiple accounts for the purpose of circumventing usage limits, bans, or other restrictions.

Account termination: We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms, without prior notice or liability.

Free tier: The Services offer a limited free tier providing access to a defined number of sparring sessions. Free tier limits are subject to change at our discretion.

Pro subscription: Pro membership is available on a monthly subscription basis at the price displayed at the time of purchase. Prices are subject to change with advance notice.

Billing: Subscriptions are billed through Apple App Store, Google Play Store, or Stripe, depending on your platform. By subscribing, you authorize the applicable payment processor to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time through your App Store, Google Play, or account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price changes: We will provide at least thirty (30) days notice before implementing price increases. Continued use of the Services after a price change constitutes acceptance of the new price.

Refunds: All purchases are final unless otherwise required by applicable law. Refund requests for App Store or Google Play purchases must be directed to Apple or Google respectively.

Nature of AI responses: The Services use third-party artificial intelligence systems to generate debate opponent responses and coaching feedback. AI-generated content may be inaccurate, incomplete, biased, or misleading.

Not professional advice: Nothing generated by the Services constitutes legal, financial, medical, psychological, or other professional advice. You should not rely on AI-generated content for decisions of consequence.

No guarantee of accuracy: The Company makes no representations or warranties regarding the accuracy, reliability, or completeness of AI-generated content.

User responsibility: You assume full responsibility for how you interpret and apply content generated through the Services.

Illegal activity: Violate any applicable local, state, national, or international law or regulation.

Harassment: Harass, abuse, threaten, or harm any person or entity.

Impersonation: Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Spam or scraping: Submit automated requests, scrape content, or use the Services in any manner that could damage, disable, or impair its operation.

Circumvention: Attempt to circumvent usage limits, access controls, or subscription requirements through technical or other means.

Harmful content: Submit content that is defamatory, obscene, hateful, or otherwise objectionable.

Company content: All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and AI opponent designs — are owned by the Company and protected by applicable intellectual property laws.

User content: You retain ownership of debate content you submit. By submitting content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content for the purpose of providing the Services.

Feedback: Any feedback, suggestions, or ideas you submit regarding the Services may be used by the Company without restriction or compensation.

As-is basis: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Service availability: The Company does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We reserve the right to modify, suspend, or discontinue the Services at any time without notice.

Limitation of liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Mandatory arbitration: ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION, NOT IN COURT, EXCEPT AS PROVIDED BELOW. You waive your right to a jury trial and to participate in a class action lawsuit.

Arbitration process: Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Pennsylvania, or via remote proceeding.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that qualify for small claims court may be brought there.

Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and the Company individually. You waive any right to bring claims as a class or collective action.

Opt-out: You may opt out of arbitration by sending written notice to support@sparwithai.com within thirty (30) days of first accepting these Terms.

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
